LLC Dissolutions and Withdrawals

Business Closing or Termination

When you decide to close your business, you must take certain steps to terminate its existence. Similar to how you created your LLC through a filing with the Secretary of State, the termination process occurs at the state level as well. "Dissolution" filings terminate a company's existence in its home state, whereas "withdrawal" filings help a company withdraw from other states in which it has registered to do business.

Failure to properly dissolve your company can result in serious consequences:

  • Owners may become personally liable for judgments against the business.
  • Penalties and fees may continue to grow if your company is permitted to lapse without a dissolution filing.
  • Registered Agent services cannot be cancelled until your company has been formally dissolved.
